Terms of Use

Terms governing the use of the closed EQUEX member area, the role of the operator and the obligations of members.

Subject matter and scope

These Terms of Use govern the relationship between Burdorf Consulting Ltd. (hereinafter “EQUEX”) and the persons admitted to the closed member area (hereinafter “Member”).

EQUEX operates a closed framework, accessible by invitation only, in which Members can view information on non-listed companies (“Listings”), make contact with their issuers, and bilaterally confirm and document completed transactions.

Deviating terms of the Member do not apply unless EQUEX expressly agrees to their application in writing.

Role of EQUEX: what the service is and is not

EQUEX provides exclusively:

EQUEX expressly does not provide: investment advice, investment brokerage, order execution, portfolio management, custody of shares or funds, payment services, or the operation of a trading system. EQUEX at no time becomes a party to the contracts concluded between Member and issuer, holds no funds and no shares, and receives no transaction-based remuneration.

Review, negotiation, contract conclusion, payment and share transfer take place directly between Member and issuer. Independent review (“due diligence”) is solely the Member's responsibility.

Admission, verification and access levels

There is no entitlement to admission. EQUEX decides on admission at its own discretion; a rejection does not need to be justified.

Access to the project-specific investor portal requires an actual stake in the respective Listing.

The Member is obliged to provide truthful information, to keep access credentials secret and not to allow third parties to use the access. Changes to relevant information must be communicated without delay.

Confidentiality

All information accessible in the member area — in particular company names, key figures, valuations, documents, offer terms and register contents — is confidential.

The Member undertakes:

Exempt are disclosures to advisers bound by professional secrecy and disclosures required by mandatory law. The obligation continues after the end of membership for a period of three years.

Issuer information

All Listing content originates from the respective issuers. EQUEX verifies that the company exists, who acts for it and whether it has consented to the presentation. No substantive review of the numbers, valuations or projections takes place.

The “Verified Issuer” mark confirms exclusively existence, authority to represent and consent. It is no statement on creditworthiness, value, quality or the achievability of projections.

Displayed scenarios and calculators are model calculations based on the assumptions entered. They are neither a forecast nor a commitment. Historical results allow no conclusion as to future developments.

Register and bilateral confirmation

Transactions and distributions are created by EQUEX based on the issuer's information and appear for the affected Member for confirmation. Only after confirmation by both sides is an entry considered complete and shown in the register with month, type, price per share and the pseudonymous Marketplace IDs.

The register entry is documentation of the details confirmed by both parties. It creates no rights in shares, replaces no corporate registration and constitutes no proof of ownership. Solely the contracts and the registers at the company's seat are authoritative.

The Member is obliged not to confirm inaccurate details and to report discrepancies without delay. Confirmed entries generally remain in place.

Availability, changes, termination

There is no entitlement to uninterrupted availability. Maintenance work, technical disruptions and adjustments to the scope of functions remain reserved.

EQUEX may suspend or terminate a Member's access, in particular in the event of breaches of these terms, false statements, reasonable suspicion of unlawful use, or if the conditions for admission cease to exist. The Member may end the membership at any time without notice.

Changes to these terms will be communicated to the Member in text form. If the Member does not object within 30 days, they are deemed accepted; this effect will be pointed out separately in the notification.

Liability

EQUEX is liable without limitation in cases of intent and gross negligence, and for injury to life, body and health. In cases of ordinary negligence, EQUEX is liable only for the breach of essential contractual obligations and limited to the damage typically foreseeable for this type of contract.

In particular, no liability exists for:

Governing law and jurisdiction

The law of the Republic of Cyprus applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Paphos, Cyprus, to the extent legally permissible. Mandatory consumer protection provisions of the state of residence remain unaffected.

Should any provision be invalid, the validity of the remaining provisions remains unaffected.
